These Terms govern your access to and use of the V Intellect platform operated by V Intellect (Pty) Ltd ("V Intellect", "we", "us"). By creating an account you agree to these Terms.

1. The service — V Intellect is a connection platform only

V Intellect operates a B2B Request-For-Quotation marketplace that performs two functions: (a) matching buyers with capability-vetted industrial suppliers, and (b) vetting supplier companies (registration checks, capability declarations, optional site visits and reference checks). That is all we do.

We are not a party to any commercial transaction between buyer and supplier. We are not your agent. We are not your fiduciary. We are not a broker. We are not a payment processor for transactions between buyers and suppliers. We are not a contracting party to any NDA, quotation, purchase order, contract, or invoice exchanged on the platform.

Once a buyer accepts a supplier's quote on V Intellect, all further dealings — including but not limited to contract execution, payment, delivery, performance, warranty, dispute resolution, and any after-sale obligations — happen directly between the buyer and the supplier without any involvement, guarantee, or liability on the part of V Intellect. V Intellect does not collect, hold, or process payment between buyers and suppliers in any form.

2. Vetting — what it does and does not mean

Our supplier vetting process aims to verify that a supplier is a real, registered company and that it has declared specific capabilities. Vetting may include some or all of: company registration verification (CIPC), confirmation of declared capabilities, optional site visits, reference checks, and document review.

Vetting is a best-effort gatekeeping process. It is not: an audit of financial standing; a quality guarantee; a delivery guarantee; a warranty of any work performed; or a representation that the supplier will perform on any specific job. Buyers remain solely responsible for their own due diligence on suppliers (including, where appropriate, factory visits, reference checks, sample orders, bank checks, and trade credit decisions) before placing orders.

3. Accounts

You must provide accurate registration information and keep your password confidential. You are responsible for all activity under your account. Companies must register through an authorised representative.

4. Pricing and billing

During V Intellect's founder phase the platform is offered free to buyers and suppliers. Revenue is generated through optional VIP subscriptions and advertising. VIP subscriptions are billed by PayFast in ZAR; failed payments may result in loss of VIP benefits after a 7-day grace period.

5. RFQs, quotations and confidentiality

RFQs and quotations submitted on the platform are confidential between the buyer and the matched supplier. Suppliers may not solicit other suppliers' customers via the platform and may not share RFQ content with third parties.

Non-disclosure agreements (NDAs): buyers may require an NDA before suppliers can view attached drawings or quote. The NDA — whether the buyer's own template or the V Intellect standard template — is a direct contract between the buyer and the signing supplier. V Intellect is not a party to any NDA, makes no representation as to its enforceability, and assumes no liability for any breach. All NDA disputes are to be resolved directly between the buyer and the supplier.

6. Acceptable use

You may not upload malicious code, use the platform for illegal activities, scrape data, attempt to access other users' confidential information, abuse the messaging system, post defamatory or misleading content, or attempt to circumvent NDA, access-control, or vetting mechanisms.

7. Intellectual property

You retain all rights to content you upload (drawings, specifications, quotations, attached files). You grant V Intellect a limited, non-exclusive licence to store and route that content to matched parties solely to operate the service.

8. Disclaimers

The platform is provided "as is" without warranty of any kind, express or implied, including (without limitation) warranties of merchantability, fitness for a particular purpose, accuracy of supplier information, availability, or non-infringement. V Intellect does not warrant that the platform will be uninterrupted or error-free.

9. Limitation of liability

To the maximum extent permitted by law, V Intellect's total aggregate liability arising out of or relating to the platform, however caused, is limited to ZAR 1,000 or the total fees paid by you to V Intellect in the preceding twelve (12) months, whichever is greater. V Intellect shall not be liable for any indirect, consequential, special, incidental, exemplary or punitive damages, lost profits, lost data, lost business opportunities, defective goods or services supplied by any supplier, late or non-delivery, supplier insolvency, or breach of any contract entered into between a buyer and a supplier, even if advised of the possibility of such damages.

10. Indemnity

You agree to indemnify and hold harmless V Intellect, its directors, employees and agents from any claim, loss, damage or expense (including reasonable legal costs) arising from (a) your use of the platform; (b) your breach of these Terms; (c) any contract you enter into with another platform user; (d) any goods or services you provide or receive through introductions made on the platform; or (e) any breach of an NDA you have signed or required.

11. Governing law and dispute resolution

These Terms are governed by the laws of the Republic of South Africa. Disputes between you and V Intellect shall be subject to the non-exclusive jurisdiction of the High Court of South Africa, Gauteng Local Division. Disputes between two platform users (e.g. buyer and supplier) are not V Intellect's responsibility and must be resolved directly between those users.

12. Termination

We may suspend or terminate your account for breach of these Terms or for illegal activity, with or without notice depending on severity. You may delete your account at any time from your profile settings.

13. Changes

We may update these Terms from time to time. Material changes will be communicated by email. Continued use after notice constitutes acceptance.
